Policies
1. Introduction
Welcome to X Digital (Pty) Ltd! We are committed to providing high-quality digital services, including but not limited to: Website Design, Management and Hosting, Digital Marketing, Graphic Design, Branding and Photography and Videography. By using our services, you agree to the following terms and policies.
2. Terms of Service
2.1 Acceptance of Terms
By accessing or using any of X Digital’s services, you agree to comply with and be bound by these terms. If you do not agree, please do not use our services.
2.2 Service Scope
Our services include but are not limited to:
Website Design, Management and Hosting
Digital marketing and SEO
Branding
Graphic Design
Photography and Videography
2.3 Revisions & Additional Work
Each package includes a set number of revisions. Additional revisions or modifications beyond the allocated limit will incur additional charges. Our standard out-of-scope rate is R600 per hour, subject to adjustment based on the complexity of the requested changes.
2.4 Cancellation & Termination
Clients may cancel services at any time; however, refunds will be subject to our refund policy.
X Digital reserves the right to terminate services for non-payment, policy violations or misuse of services.
Cancellations are only accepted and will commence once X Digital receives the cancellation request in writing by the Client.
2.5 Quotations
All quotations are valid for a period of 30 days from the date of issuance and is subject to availability.
3. Payment Terms
The quoted price excludes any applicable taxes or additional charges unless otherwise specified.
Payment terms require a 50% deposit of the total quoted price upfront, with the remaining 50% due upon completion.
Services outlined in the quotation will only commence once X Digital has confirmed receipt of the client’s deposit.
The client agrees to pay the remaining balance within 30 days of receiving the final invoice. If payment is not received within this period, an interest charge of 5% of the total quoted price per day, or 15% per month, will be applied until full payment is made. Should the client fail to pay, X Digital reserves the right to pursue legal action to recover the outstanding amount.
Payments should be made to X Digital’s designated bank account as provided on the quotations or invoices. X Digital is not liable for any payment errors, and it is the client’s responsibility to ensure the accuracy of their payment details before completing the transaction.
For any services that require a monthly fee, failure to make payment within 30 days of receiving the invoice will result in the immediate cancellation and deactivation of those services. X Digital will not be held liable for any losses caused by this deactivation and does not guarantee the recoverability of any designs or services once deactivated. If the client wishes to reinstate services after deactivation, they will be required to pay the outstanding balance, as well as a reactivation fee, determined by the time required to resolve the suspension.
X Digital reserves the right to suspend the client’s services due to non-payment and charge applicable fees for any arrears, in accordance with these Terms and Conditions.
4. Pricing, Additional Costs & Project Timelines
Prices vary depending on project requirements and market conditions.
Any changes to the scope of work after acceptance may result in adjustments to the final price and timeline.
Transportation costs for on-site work (if applicable) are not included in the quoted price and will be charged separately.
The delivery timeline will be as agreed upon with the client. Delays due to unforeseen circumstances may extend the timeline, and X Digital will not be held liable for any penalties incurred due to such extensions.
Services are subject to availability. If a service becomes unavailable, X Digital reserves the right to offer alternative services of similar value and quality.
X Digital reserves the right to modify prices and discounts on our website or within customised quotations at any time.
5. Refund & Cancellation Policy
5.1 Refunds
Deposits are non-refundable once work has commenced.
If a project is canceled before completion, refunds will be assessed based on work completed.
No refunds are applicable for completed work or digital products.
Hosting and maintenance services are non-refundable once the billing cycle begins.
5.2 Cancellation Fees
If a client cancels after significant progress has been made, a cancellation fee may apply. This fee must be paid in accordance with the payment terms outlined above, and these terms apply to all payments owed to X Digital, including the cancellation fee.

6.1 Information We Collect
We may collect personal information that you provide to us directly – such as names, contact details, and billing information – to provide our services.

When you enter a competition or complete a survey

We DO NOT share or sell your personal information to any third parties for their marketing purposes.

The security of your data is important to us. While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security. However, we do employ a number of safeguards intended to mitigate the risk of unauthorized access or disclosure of your information. We will do our best to protect your personal information and we will use up to date technology that will help us to do this. We will at all times comply with our obligation under applicable law.

We will retain your personal information only for as long as is necessary for the purposes set out in this privacy policy or to comply with our legal obligations, resolve disputes, and enforce our legal agreements and policies.

All content shared on our website, social media channels or communication platforms, is strictly the property of X Digital. This includes, but is not limited to, images, videos, text, graphics, logos and any other materials we post.
You may not use, reproduce, distribute, or modify any of our content without obtaining prior written consent from X Digital. Unauthorized use of our content will result in legal action being taken.
By engaging with our content, you agree to respect our intellectual property rights and understand the legal implications of non-compliance. For permission to use any content, please contact us directly.
8. Copyrights
The Client is responsible for ensuring they hold the Copyright for all materials provided to X Digital.
X Digital, along with its employees, independent contractors, affiliates, agents, and associates, will not be held liable for any Copyright-related issues.
In the event that X Digital is notified of any material being supplied without the appropriate Copyright, any illegal content will be promptly removed, and the Client will be charged for the removal costs.
X Digital accepts no responsibility for any content provided by the Client that lacks proper Copyright.
9. Intellectual Property
X Digital retains ownership of all design concepts until full payment is received.
Clients receive the rights to use final approved designs, but resale or redistribution requires explicit permission.
By using our services, the client agrees that X Digital may showcase completed work for portfolio and advertising purposes unless explicitly stated otherwise by the client.
10. Liability & Disclaimer
X Digital shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of products/services provided. We shall not be held liable for any loss of profits, opportunities or information as well as any business interuptions.
X Digital is not responsible for losses, damages, or service interruptions caused by third-party providers, cyberattacks, or client misuse.
We do not guarantee specific results for digital marketing and SEO services due to varying market conditions.
10. 1 Drone Videography Disclaimer
The Client acknowledges that drone operations are subject to aviation regulations and may require permits, permissions, and/or licences. Where the Client explicitly instructs X Digital to proceed without obtaining the necessary permits, the Client accepts full responsibility and liability for any legal, regulatory, or financial consequences (including fines or penalties) that may arise from such activity. X Digital, its employees, and subcontractors shall be indemnified and held harmless against any such claims, penalties, or damages.
11. Website Hosting & Management
11.1 Hosting Terms
We offer various hosting packages with different resource allocations.
Downtime due to maintenance or unforeseen circumstances may occur, but we strive to minimize disruptions. X Digital cannot be held liable for downtime or loss due to technical faults from the server.
11.2 Management Services
Website maintenance includes security updates, backups, and content updates as per the selected package.
Clients must provide necessary access and credentials for us to perform maintenance.
12. Governing Law & Jurisdiction
This policy and any resulting agreements shall be governed by and construed in accordance with the laws of the Republic of South Africa, regardless of the location of the Client.
Any disputes arising from or in connection with our services shall be subject to the non-exclusive jurisdiction of the South African courts, although we reserve the right to bring legal action in any other relevant jurisdiction if necessary.
13. Confidentiality
Both parties agree to treat all information shared during the quotation process and service delivery as confidential.
14. Legal Costs
Non-compliance with these Terms and Conditions will lead to legal action by X Digital’s legal representative(s), and the entire outstanding balance will become due.
Any legal costs incurred will be added to the Client’s outstanding balance.
